Terms of Service

These Terms of Service ("Terms") govern your access to and use of the OtakuThemes website, member area, and the digital products and services we sell (collectively, the "Service"). By creating an account, placing an order, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Who We Are

"OtakuThemes," "we," "us," or "our" refers to the operator of this website. "You" or "Customer" refers to the individual or entity using the Service.

2. Accounts

A member account is required to purchase products, download files, and access support. You may create an account with an email and password or by signing in with Google. You are responsible for:

• Providing accurate information when registering or checking out
• Keeping your login credentials confidential
• All activity that occurs under your account

Notify us immediately if you suspect unauthorized use of your account. We are not liable for losses caused by unauthorized access resulting from your failure to safeguard your credentials.

3. Products & Licensing

OtakuThemes sells digital products — WordPress themes, plugins, and scripts (collectively, "Products"). Purchasing a Product does not transfer ownership of it to you. Instead, you are granted a limited, non-exclusive, non-transferable license to use the Product subject to the license type you purchased.

• Each license is issued as a license key and may be activated on a limited number of domains, as shown on the product and in your member area at the time of purchase.
• Licenses include a fixed period of software updates and a fixed period of support, both shown on the product page at the time of purchase. Access to updates or support may end once the corresponding period expires unless renewed.
• You may not resell, sublicense, redistribute, or share Product source code or license keys as a standalone product or service.
• You may not remove license enforcement, activation checks, or attribution notices embedded in a Product except where the license you purchased explicitly permits it.
• We may deactivate a license key found to be in violation of these Terms, without refund.

4. Custom Development Services

For custom theme or script development requested through our Services page, the specific scope, timeline, and price are agreed on a per-order basis and tracked through your member area as a custom order, with progress updates, project documents, and invoices. Where a project document requires your signature, that signature confirms your agreement to the scope and terms described in that document. Custom development orders may require upfront and/or final payment invoices before delivery.

5. Payments

Prices are listed in US Dollars. Payment is accepted via cryptocurrency transfer to a wallet address provided at checkout. Orders are confirmed once payment is verified by our team; you may be asked to provide proof of payment. Access to a purchased Product (license key and download) is granted once the corresponding order is confirmed as paid.

6. Refunds

All sales are final. Because Products are digital goods delivered electronically (license key and download access) immediately upon payment confirmation, we do not offer refunds or exchanges once an order has been confirmed as paid, except where required by applicable law.

7. Membership Tiers

Your account may carry a membership tier (e.g. Basic, Pro, Plus, Premium) that determines which features of the Service you can access, such as eligibility for custom development orders. Membership tiers, and the benefits attached to them, may change over time.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to bypass, disable, or circumvent license activation, domain limits, or other access controls
• Interfere with or disrupt the integrity or performance of the Service, including by attempting to gain unauthorized access to it or to other users' accounts
• Reverse engineer a Product beyond what your license permits

We may suspend or terminate an account that violates these Terms, without refund of any amounts already paid.

9. Intellectual Property

All Products, source code, designs, trademarks, and content made available through the Service remain the property of OtakuThemes or its licensors, except for the limited license granted to you under Section 3.

10. Third-Party Services

The Service relies on third-party providers — including Supabase for accounts and data storage, Cloudflare for file storage and bot protection, Google for optional sign-in, and an email provider for transactional email — to operate. Your use of features backed by these providers is also subject to their own terms. See our Privacy Policy for details on what is shared with them.

11. Disclaimer of Warranties

The Service and Products are provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Products will be uninterrupted, error-free, or compatible with every environment.

12. Limitation of Liability

To the fullest extent permitted by law, OtakuThemes will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from your use of the Service or Products. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws applicable to OtakuThemes' place of operation, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your jurisdiction provide otherwise.
